1. Acceptance and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and PXS Research governing your access to and use of pxsresearch.com and any related pages, features, content and communications that link to these Terms (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
You must be legally capable of entering into a binding agreement. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes the organization. The Service is not directed to children under 13.
2. Investment research disclaimer
The Service provides independent investment research, commentary, tools and educational information. It is provided for general informational purposes only. Nothing on the Service is, or should be understood as:
- personalized investment, financial, legal, tax or accounting advice;
- a recommendation that any security, company, fund, strategy or transaction is suitable for you;
- an offer to sell, a solicitation of an offer to buy, or an endorsement of any security or financial product; or
- a promise or guarantee of any result, return, price target or outcome.
PXS Research does not know your objectives, financial circumstances, investment horizon, liquidity needs, tax position or tolerance for risk. You are solely responsible for evaluating information, conducting independent diligence and making your own decisions. PXS Research contributors may hold, buy or sell securities or interests discussed on the Service and may have relationships with companies, funds or people mentioned. Where a relationship or interest presents a material conflict relevant to specific published analysis, PXS Research aims to disclose that context. A disclosure does not eliminate the need for your independent judgment.
3. Information, models and availability
Research reflects judgments as of the date stated and may change without notice. Companies, markets, technologies, prices, filings and other facts can change rapidly. Some content may use third-party data, estimates, models, automated systems or artificial intelligence to assist with collection, organization, comparison or drafting. These processes can introduce errors, omissions, stale information or unsupported inferences.
Dates shown on research pages indicate the editorial or data status described on the page; they are not a promise that every fact was reverified on that date. Price targets, conviction levels, signals, forecasts and scenarios are opinions or analytical outputs, not facts. We do not undertake a duty to update any content, correct every error immediately, or notify you when a view changes.
We may modify, suspend, restrict or discontinue any part of the Service at any time. We do not guarantee that the Service or any content will always be available, complete, timely or free from interruption.
4. Permitted use
Subject to these Terms, PXS Research grants you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the Service for lawful, noncommercial research and informational purposes.
You may not:
- use the Service in violation of law, regulation, market rules or another person’s rights;
- copy, reproduce, republish, sell, license, distribute or commercially exploit a substantial portion of the Service without written permission;
- scrape, crawl, harvest or use automated means to extract content or data at a volume or frequency that burdens the Service or bypasses access controls;
- use Service content to train, fine-tune or evaluate a machine-learning model without written permission;
- misrepresent PXS Research content, remove attribution or proprietary notices, or imply that PXS Research endorses you or your product;
- probe, scan or test vulnerabilities, interfere with operation, introduce malicious code, evade security measures or attempt unauthorized access; or
- submit false information, spam, or use another person’s email address without authorization.
Ordinary search-engine indexing and linking to public Service pages are permitted when performed responsibly and in accordance with applicable technical directives.
5. Intellectual property
The Service, including its original research, selection and arrangement of information, text, graphics, branding, interface, code, taxonomies and other materials, is owned by PXS Research or its licensors and is protected by intellectual-property and other laws. PXS Research names, logos and marks may not be used without permission in a way that suggests sponsorship, endorsement or affiliation.
You may quote brief excerpts for commentary, criticism or citation where permitted by law, provided you accurately attribute PXS Research and link to the relevant page. No rights are granted except those expressly stated in these Terms. Third-party names, marks, filings, data and materials remain the property of their respective owners.
6. Third-party content and links
The Service may link to company filings, news, research, data providers and other third-party resources. Links are provided for context and convenience. PXS Research does not control and is not responsible for third-party content, availability, security, accuracy, products, services or privacy practices. A link or reference does not necessarily imply endorsement.
Your dealings with third parties are between you and those parties. Review their terms and policies before relying on their content or providing information.
7. Email communications
If you join the investment club or research email list, you agree to receive the communications described at signup. You may unsubscribe from promotional or research emails using the method provided in an email or by contacting us. We may still send non-promotional messages necessary to respond to you, administer a request, or provide legally required notices.
You are responsible for ensuring that contact information you provide is accurate and that you are authorized to use it.
8. Warranty disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PXS RESEARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY AND QUIET ENJOYMENT.
We do not warrant that the Service will meet your requirements; that operation will be uninterrupted, secure or error-free; that defects will be corrected; or that the Service is free of viruses or harmful components. No information obtained from PXS Research creates a warranty not expressly stated in these Terms. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PXS RESEARCH AND ITS CONTRIBUTORS, AFFILIATES, SERVICE PROVIDERS AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY; TRADING OR INVESTMENT LOSSES; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PXS RESEARCH FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID PXS RESEARCH TO USE THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability and are an essential basis of the agreement. They do not limit liability that cannot lawfully be excluded or limited. Your jurisdiction may provide rights that override part of this section.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless PXS Research and its contributors, affiliates, service providers and representatives from claims, liabilities, damages, judgments, losses and reasonable costs arising from your unlawful or unauthorized use of the Service, your violation of these Terms, or your violation of another person’s rights. PXS Research may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably.
11. Changes and termination
We may revise these Terms from time to time. Revised Terms take effect when posted unless a later date is stated. By continuing to use the Service after revised Terms take effect, you accept them. If you do not agree to a revision, stop using the Service.
We may restrict or terminate your access to the Service if we reasonably believe you violated these Terms, created risk or legal exposure, or misused the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination—including intellectual property, disclaimers, liability limitations, indemnification and general terms—will survive.
12. General terms
These Terms and the Privacy Policy are the entire agreement between you and PXS Research about the Service and supersede prior discussions on that subject. If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; PXS Research may assign them in connection with a reorganization, financing, merger, sale or transfer of the Service.
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship. Section headings are for convenience only. Any rights and remedies provided by applicable law remain available to the extent they cannot be waived.
